6. Payment Terms

Payments not received within 30 days of the due date may incur a late fee of 2% per month. We reserve the right to suspend services for accounts with overdue payments.

7. Intellectual Property Rights

7.1 Client-Owned IP

Upon full payment, clients retain ownership of custom-developed solutions created specifically for their project, excluding our proprietary tools, frameworks, and methodologies.

7.2 Company-Owned IP

We retain ownership of our proprietary development tools, frameworks, methodologies, and any pre-existing intellectual property used in service delivery.

7.3 Third-Party Components

Projects may incorporate third-party libraries, frameworks, or components subject to their respective licenses. Clients are responsible for compliance with such licenses.

8. Confidentiality and Non-Disclosure

We maintain strict confidentiality regarding all client information, project details, and business data. We are willing to execute separate Non-Disclosure Agreements (NDAs) when required by clients.

9. Data Security and Privacy

10. Service Level Agreements

10.1 Availability

We strive to maintain 99.9% uptime for hosted services. Planned maintenance will be scheduled during off-peak hours with advance notice.

  • Critical Issues: Within 4 hours
  • High Priority: Within 24 hours
  • Medium Priority: Within 48 hours
  • Low Priority: Within 72 hours

11. Warranties and Disclaimers

We warrant that our services will be performed with professional skill and care. We will correct any defects in deliverables at no additional charge within 90 days of delivery.

11.2 Disclaimers

12. Limitation of Liability

Our total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim. We shall not be liable for any indirect, incidental, consequential, or punitive damages.

13. Force Majeure

We shall not be liable for any delay or failure to perform due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, labor disputes, or technical failures of third-party systems.

14. Termination

14.1 Termination by Client

Clients may terminate services with 30 days written notice. Payment for completed work and any outstanding invoices remain due.

14.2 Termination by Company

We may terminate services immediately for non-payment, breach of terms, or if continuation would violate applicable laws.

15. Website Usage Terms

15.1 Permitted Use

You may use our website for legitimate business purposes related to our services. You may not use the website for any unlawful or prohibited activities.

15.2 Prohibited Activities

You agree not to:
